THE CHOWAN HERAt.D Proposed Merger Js Accepted The Board of Directors of Bancshares of North Carolina, Inc. voted unanimously today to ac cept the proposal for merger of Bank of North Carolina, N.A., with North Carolina National Bank. C. D. Spangler, Jr., Chairman of Bancshares, said directors of the Raleigh bank-holding company voted to accept NCNB’s offer of 2,147,550 share of NCNB Corporation common stock for all the outstanding stock of Bank of North Carolina. “The ac ceptance is subject to the approvals of the appropriate regulatory agencies and certain other matters,” he said. The merger is also subject to the approval of Bancshares’ shareholders and the Board of Directors of NCNB. “I am very pleased with the Bancshares Board’s decision,” said Thomas I. Storrs, Chairman of NCNB Corporation and North Carolina National Bank. “The addition of Bank of North Carolina to NCNB’s network of branches will broaden NCNB’s position in the eastern portion of the state. We also believe the new services that NCNB can bring to that part of the state will be well received by the Bank of North Carolina customers,” Storrs said. “We are also pleased with the caliber of people who will be joining NCNB -a fine group of employees who have built a strong and profitable banking in stitution. Bank of North Carolina has 70 branches in 42 communities. It has assets of $412-million and deposits of $348-million.
