Whereas, on the fifth day of
August 1912 a petition was pre
sented to the Board of Comtnis-
sioners of Alamance County by
certain resident taxpayers and
freeholders of Morton’s Town
ship, Alamance County, asking
that the said Board of Commis
sioners order an'election on the
question of the issuance of Ten
Thousand Dollars ($10,000.00) of
bonds by said Commissioners on
behalf of said Township for Ten
Thousand Dollars of the prefer
red stock of said Greensboro,
Northern and Atlantic Railway
Company:
And, VVhereas, on the same^
date, a like petition was present
ed to said Board of County ^Com
missioners by certain citizens,
taxpayers and residents of Boon
Station Township, Alamance
County, asking for a like election
in said Boon Station Township on
the question of the issuance of
Five Thousand Dollars of bonds
for a like amount of the prefer
red stock, as aforesaid:
And, VHiereas, on the same
date, a like petition was present
ed to said Board of Commission
ers by certain citizens and tax
payers amd residents of Fau-
cette’s Township asking for a

date, to-wit: the 5th. day of Au
gust 1912, an order of election
was made by the Beard of Com^
missioiiers of Alamance County,
in each of the aforesaid Town
ships, said election to be held in
each of said Townships on the
17th. day of September 1912, to
determine the question of wheth
er the several Townships should
subscribe the several amouhts in
the bonds of the several Town
ships as prayed for in the respec
tive petitions presented in ex
change for like sums of the pre
ferred stock of the Greensboro,
Northern and Atlantic Railway
Company to aid in the construct*
ion thereof:
And, Whereas, the Greensboro,
Northern and Atlantic Railway
Company, the proiwsed l:«nific-
iary of said bonds, is desirious of
assuring the voters of the said
several Townships, and each of
them, that in the event that the
said bond election shall be car
ried, that the money derived
from said'bonds will be appro
priated and applied to the con
struction of a certain line of rail
way:
Now, Therefore, The Greens
boro, Northern And Atlantic
Railway Company, party of the
first part, in consideration of the
qualified voters of the several
Townships in Alamance County,
as above set forth, and each of
them, severally, voting in iavor
of the issuance of said bonds,
agree with The Greensboro Loan
And Trust Company, party of
the second part, acting as Trustee
for the several Townships of Al
amance County, voting for the
issuance of said bonds, that the
said bonds when issued m con
formity with the said eiection so
held in said Town ships, shall be
turned over to The Greensboro
Loan And Trust Company, as
Trustee, to be held by it in trust
upon the following conditions,
to-wit:—
First. That the said bonds
shall not be delivered to ihe
Greensboro, Atlantic and North
ern Railway Company, or any
one else for it, unless and until
there is const! ucted by it, or by
its successor or successors, or its
assigns, so much of its projected
or proposed lines of railway as
shall constitute and include a line
from a point within the city of
Greensboro, North Carolina, in
a easterly direction through the
county of Guilford, to the Ala
mance County line, and, thence,
through the County of >Alamance
to a point necessary to connect,
and which does connect, with the
Seaboard Air Line Railway Com
pany and the Norfolk a^d South
ern Railroad Company’s line or.
lines, or either of them or wtii^
the subsidiary line or ~ lines of
said Corporations, or either of
them.
Second. That in the event the
said portion of the lines of Rail*
way of the party of the first .part
is not constructed by it oi: its
successor or successors or assigns
within three (3) years from the
date of the issuance of said bonds
as indicated and set forth in
condition First, as above set out
and numbered, that then to that
event it is agreed by the party
of the first part that the party
of che second part (The Greens
boro Loan & Trust Company)
shall, and it agrees that it will,
in that event, deliver ail of said
bonds so issued by the County of
Aiamahce for the several Town
ships in said county, to the Board
of Coriimissioners of Alamance
in order that they may all bede-
staoyed, and it is further agreed
by the party of the first part
that in the event of the failure
to construct the aforesaid lines
of Railroad within three (3)
years from said date of issuing
of said bonds, that all rights and
equities which the ^rty of the
first part may have in said bonds
Shall Cease.
Third. That said bonds shall
not be delivered by the party of
the second part to the party of
first part, or to any one for it,
unless and until the party of the
first patt, its successor, succes-
ors or assigns, construct said line
of i^ili^d as agreed in condition

Fourth. It is further agreed
by the party of the first part to

Company, which is issued, or is
to be issued, in exchange foi’
said bonds, as provided by the
order of eiection, is redeemed at
par that there shall not be issued
by tiie party of the first part, or
by its successor, successors, or
assigns, a greater amount of
preferred stock than Six Thou
sand Dollars per mile upon the
Une to be constructed as afore
said: the preferred) stock to be
5 per cent, non-cumulative and
redeemable at the option of the
party of the first part at any
time within five years from the
date of its issue.
Fifth. It is further agreed hv

of said Townships, or either of
them, are issued and delivered

Trust as above indicated, and are
subsequently delivered to the

trains for the transportation of
freight and passengers thereover
between the terminal above in
dicated, that the coupons upon
said bonds for one half of the
time between the date of the
issuance of said bonds and the
date of the operation of trains as
aforesaid oyer said line of rail
road shall be clipped by said
Trustee and delivered to the
Board of County Commissioners
for the purpose and with the
obligation said Board of County
Commissioners that such coupons
shall be destroyed^ and that all
other coupons shall remain at-
