State, ex rel, Thos. B. Kenan, Att'y Gen'l,
vs. Roanoke Navigation Company
Halifax.
Ashe, J.:
At the fall term, 1881, of Halifax Su
perior court a judgment was rendered
in the above action appointing Ttios. N.
Hill receiver and clothing him with all
the powers and duties prescribed in the
act of the .Legislature, entitled "An Act
for the dissolution of the Roanoke
Navigation company," ratified March
18th, 1875. After due advertisement the
receiver proceeded to sell the works and
property of the company on the 6th of
February, 1881. Robt. J3. Peebles and
other3 being the highest bidders. The
receiver in his report at the Spring
term said that he had been notified that
application would be made to re-open
the bidding for said property, but that
no application had been filed with him,
and should none such be filed, he be
lieved that the property owing to cer
tain claims to a portion thereof which
bad been asserted, and to the outlay of
money which would be needed to put
the property in good condition and suit--
able repair, the price for wnich it sola
was as much as it would ever bring,
therefore he recommended a confirma
tion of the sale. At said term a petition
was prayed for the reopening of the
bidding by John Arrington & Sons;
they offering ten per cent advance on
Peeble'8 bid.
Thereupon his Honor set aside the
-sale and ordered the money which had
been paid in by Peebles and others to
be ieturned, and reopened the bidding;
from when judgment Peebles appealed.
The court says: All the authorities
agree that the courts of equity have an
absolnte power over all sales had under
their orders in connrming them or set
ting them aside, reopening the bidding,
&c.
The established practice in this State
has been to reopen biddings and order
a resale whenever an advance bid has
been offered of ten per cent, upon the
amount bid at the sale, provided it is
made before the confirmation thereof
and in apt time, which is at the term
ensuing the sale, but never to reopen
the bidding after a confirmation except
in case of fraud meaniBg fraud in the
broadest sense. The above is also the
English rule.
The objection that there was error in
receiving the advanced bid, for that Ai
rington attended the sale and then bid
for the property, does not lie. "Althougl
the court looks with jealousy upon the
bid of such a person, yet the largeness
of the bid offered will be taken as a
compensation for a loss that may have
arisen from a want of compensation at
the sale." Dan. Ch. Prac, p. 1460. As
biddings are merely opened for the
benefit of those who have an interest in
the property, the court in making its
decision cannot take into consideration
the purposes for which the property is
purchased nor whether the purchasers
are residents or non-resident3 "it is a
mere question of dollars and cents."

This was an application by defen
dant for a certiorari to bring up an ap
peal from the Superior court of Gran
ville. Upon docketing the appeal the
plaintiff moved to dismiss it upon the
grounds that .it was not docketed in
time and that the appeal bond had not
been justified. Motion allowed and this
application presented.
The court says: 1st. When counsel
for the appellee in the case agreed to
and signed the statement of the case on
appeal whatever imperfection their
may have been in the appeal bond giv
en was waived.
2d. It is sufficient if appeals taken
from the Superior court be docketed at
the ensuing term of this court. The
practice which obtained under the ltev.
Code, ch. 4, sec. 25, of docketing appeals
at the "term next ensuing," has not been
abrogated by any provision of the C. C.
P. or by any rule of this court.
3d. When there is nothing that savors
of a lack of diligence in the conduct of
a petitioner or his counsel, and where
the petition is made in time and the
reason that the appeal was not docket
ed at the ensuing term of the court,
was altogether ou account of the unex
pected indisposition of the clerk, the
petition should be granted.
4th. If a petitioner fails to set forth
in his application the merits of his case,
even so far as to present a prima facie
case; if It stood alone, his motion would
be denied: but the defect would be
remedied, where he accompanies his pe
tition.willi ihe statement of LhQ case, as
presented in this court, and is allowed
to read the same without objection. .

This is an application to rehear the
case, and is based upon the ground that
his appeal was taken before the decis
ion in Bryson vs. Lucas, 85 N. C, 397.
where it was for the first time held
that an appeal bond to avail for any
purpose must be justified by the sure
ties thereto, and inasmuch as the prac
tice had hitherto and almost universally
been different, hewas unavoidably sur
prised. The court says : That a practice so
general and thus apparently sanctioned,
furnishes an excuse to the plaintiff for
his inadvertence or negligence and
warrants the equitable interference of
the'eourt, to prevent its working bim
an Injury; thoueh it must be expressly
understood that no such indulgence
will be shown to appeals hereafter to
be taken, but that the requirements of
the statute will be steadily adhered to.
Motion allowed.

show that he was of unsound mind and
not criminally responsible, and asked
the court so to charge. The error as
signed consists in charging that "the
burden was upon the defendantto show
by a preponderance of evidence that
his was such a state of mental weak
ness or mental decision that he did not
know the nature and quality of the act

must prove his defense in excuse of the
crime, "by a preponderance of evidence"

To the report of the referee's finding
of fact there was no ' exception. The
referee rulrgj that the creditors who
have sued out and been restiained
from prosecuting supplemental pro
ceedings' by the injuncion, are entitled
to priority of payment according to the
several dates at which the process was
suea one against persons indebted to
the bank out of these respective debts
when recovered bv the receivprt and
that all creditors of docketed iude-
ments, accordinz to the data of docket
ing of each, have a preference out of
the general fund to the extent of the
value of any land on which they there-
oy uecame liens under tne statute.
This ruling was affirmed below and
plaintiffs appeal. The inquiry is as to
the legal validity of the judgments and
supplementary proceedings to enforce
mem, renaerea on process which issued
after the de facto existence of the cor
poration ceased and was served upon
its former de facto officers.
The court says: The dissolution of
the bank is established at a time long
anterior to the bringing of any of the
suits. After June 1, 1876 there was no
such corporation as the Bank of States-
vule in fact or in law and there could
be no de facto officers to bind
it by their acts, or on whom legal pro
cess could be served. A defunct corpo
ration, like a natural person who dies,
cannot be brought into court by process
served upon otneers or agents who were
such when it lived. All such agencies
cease with its dissolution except as
provided in ch. 20 Bat. RevisaL and its
effects and property are then to be ad
ministered in accordance with these
statutory provisions. The receiver is
the administering, office and the rights
and priorities of creditors as existing
at the time of dissolution cannot be
displaced or disturbed by the active
diligence of creditors exercised after
wards. The same rule prevails as in
me administration or deceased debtors

creditor is at his election an adversary
contestant of the claims of all others,
and all redress is open to him that

This decision is upon the grounds
that the bank having ceased to act after
the 1st day of June, 1876, and all of its
supposed omcers having since abdi
cated their functions, the judgments
recovered upon the processes so served
as the referee finds, are nullities, and no
priority has been thereby acquired by
tne creditors.
