9:30 a.m. on Wednesday, Jan
uary 29, 1969, on petition of
Carolina Telephone and Tele
graph Company (Carolina)
am] United Utilities. Incor
porated (United), and New
Carolina Telephone and Tele
graph Company (New Caro
lina) for approval of a plan of
merger between Carolina
Telephone and Telegraph
Company and United
Utilities. Incorporated.
Briefly, the plan of merger
is as follows: Prior to the
merger. Carolina will transfer
all its operating public utility
assets to New Carolina in
exchange for all the capital
stock of New Carolina, the
latter to assume all outstand
ing liabilities and obligations
of Carolina. It is proposed
that New Carolina be issued a
Certificate of Public. Con
venience and Necessity for all
territory for which Carolina
now holds a Certificate and is
serving. AS soon as prac
ticable - thereafter, Carolina
would merger into United,
the latter thereafter owning
all of the common capital
stock In, and controlling.
New Carolina.
Through the merger, the
common capital stock of Car
olina would be converted Into
"Preferred Stock - second
series, Convertible" of
United. Each converted share
would have one vote and
could be further converted at
any time into one and one
quarter (1V4) shares of com
mon capital stock of United.
Each share of Carolina stock
aanreMed to United pre
ferred, unices further con
verted to United comipon
capital stock by the stoclX
holder, would draw a fixed
dividend of 11.25 per share

share thereafter. After 1975,
United may redeem each such
preferred share then out

per share. Utilities Commis
sion records show that Caro
.lina earned $.97 per si,?re on
its common stock in 1967.

with the North Carolina
Utilities Commission and is
open for public inspection in
the offices of its Chief Clerk.
At said hearing the burden
of proof- will be upon the
petitioners to justify approval
of the petition. Evidence will
be received from the Commis
sion s Staff and from any
other person, firm, or agency
having a direct interest in the
proceeding, whether such
evidence is in support of. or
opposition to, the plan.
North Carolina law does not
permi t letters, telegrams, pe
titions, communications
other than personal ap
pearances as evidence in the
proceedings.
All persons desiring to pre
sent evidence, cross-examine
witnesses and otherwise parti
cipate fully in the proceed
ings as a party protestant or
intervenor should file with
the North Carolina Utilities
Commission a written protest
or motion 'to be"' made a
party. Such protest, motion,
or petition should clearly
state the name and address of
the person, firm, or agency
making it, should disclose a
direct interest in the subject
matter of the proceedings,
and should state the position
which the party intends to
support by personal ap
pearance or through counsel
at the hearings.
The tests which the Utili
ties Commission is required
to apply in considering the
petition are contained in
North Carolina General Sta
tutes G. S. 62-110 and
62-111.

A special bond election
will be held between 6:30
A.M. 'and 6:30 P.M., Satur
day, 'February 15, 1969, at
which there will be submitted
to the qualified voters of said
Town the following question:
Shall an ordinance passed
on January 6, 1969, authoriz
ing the Town of Bunn, North
Carolina, to contract a debt,
in addition to any and all
other debt which said Town
may now or hereafter have
power or authority to con
tract. and In evidence thereof
to issue Water Bonds in an
aggregate principal amount
not exceeding $160,000 for
the purpose of providing
funds, with any other avail
able funds, for constructing a
Water-works system- for said
Town, including the acquisi
tion of any necessary land
and rights of way. and
authorizing the levy and col
lection of a sufficient tax for
the pavment of the principal
of and the interest on said
bonds, be approved?
The question hereinabove
set forth contains a statement
of the purpose for which the
bonds are authorized by the
ordinance referred to. in sue*

If said bonds are issued a
tax will be levied upon all
taxable property in the Town

' BE IT ORDAINED by the
Board of Commissioners of
the Town of Bunn:
Section 1. That, pursuant
to The Municipal Finance
Act, 1921. as amended, the
Town of Bunn, North Caro
lina, is hereby authorized to
contract a debt, in addition
to any and all other debt
which said Town may now or
hereafter -have power or
authority to contract, and in
evidence thereof to issue
Water Bonds in an aggregate
principal amount not exceed
ing $160,000 for the purpose
of providing funds, with any
other available funds, for con
structing a waterworks sys
tem for said Town, including
the acquisition of any neces
sary land and rights of way.
Section 2. That a tax suf
ficient to pay the nriscipal of

shall be annually levied and
collected.
Section 3.. That a state
ment of tbe debt of the Town
has been filed with the clerk
