Atlanta, Ga., March 10.—Representa tive Ransdell, of Louisiana, urged the South to drain its immense swamp lands, comprising waste land equal in size to the state of I.ouisiana and Mis sissippi combined. He declared that the South should “emulate the wise example of the national government and develop its vast areas of worth less, disease-breeding swamps under a general plan that would promote both the private and public welfare. ‘He compared this work with that of irrigation in the West and declared that in his opinion all expenditures made to reclaim land were wise. “In developing our swamp lands,” he said, “I would strongly advocate that they be sold in small tracts, say, 40 to 60 acre&. Why is emphasis plac ed upon small farms? The answer lies in asking another question. W’hy do the sons of the farmer go to the city? I have long held that a federal incor poration act, which the president advo cates, under which all companies doing an interstate business could organize would be a solution of the difficulties which are now almost insurmountable, and which are being added to in an alarming manner in the endeavor of the legislatures of the several states to curb a few of the tens of thousands of companies and firms doing an inter state business. Protection of Minority Owners. After having read and carefully studied the bil providing for federal incorporation, which w'as introduced in the long session of the present con gress, I am constrained to say I w^ould prefer to see a federal law in terms more easily comprehended by business men and devoid of those provisions w-hich would give to a privileged few a practical control of a corporation by expedients which have been skillfully developed and which are now looked upon as a matter of courK;9. Minority owners should not be de prived of posible representation by the formation of voting trusts and the election of directors in classes. These methods can, and often do, de feat the purposes of laws which have provided for cumulative voting, w'here- by a substantial minority ean insure the election of at least one member of a board of directors. Each director of a corporation should be required actually to own a substantial interest in the shares of the company, the affairs of which he aids to control, and the term of office be only from year to year. To make meaning clearer, I will illustrate aimed at Asiatics, the bill would affect others.
