CHAPTER LXV.
An Act to incorporate the Edgecombe Man
ufacturing Company.
Be it enacted by the General As
sembly of the Slate of North-Caroli
na, and u is hereby enacted by the au
thority of the same. That Joel Battle
and such other persons as may be asso
ciated with him, according to the pro
visions of the third section of this act,
his and their assigns and successors, be,
and they are hereby incorporated into a
body corporate and politic, under the
name and style of "the Edgecombe
Manufacturing Company," for the pur
pose of manufacturing cotton, hemp,
wool and flax; and by that name and
style may sue and be sued; contract and
be contracted with; have perpetual suc
cession and a common seal; and hold re
al and personal estate, with the power
to make all necessary rules, regulations
and byelaws for the management of the
concerns of the company, not inconsist
ent with the laws of this State.
II. And be it further enacted, That
the capital stock of said company shall
not b: less than thirty thousand dollars,!
nor more man one hundred thousand
dollars, to be raised by subscription in
shares of one hundred dollars each, for
which books of subscription shall be op
ened under the direction of Edmund
D. Macnair, David Clark, David Barnes,
Joel Battle, Benjamin M. Jackson, The-
ophilus rarker, Peter Evans and Will
iam Piummer, at Tarboro'. and at such
other places in the State as may by them
be deemed advisable; and the said com
missioners, or any three of them, may
proceed to organize the said company so
soon as the first named sum of thirty
thousand dollars shall have been subscri
bed for, with leave to the company to
extend the capital stool; thereof at any
time thereafter: Provided, the same
shall not exceed the sum of one hundred
thousand dollars.
III. And be it further enact 'ed, That
there shall be annual meetings of the
stockholders at such time and place as
they mr.y from time to time appoint, for
managing
the general concerns of said
company: three persons being stockhol
ders, shall be chosen directors, who may
appoint a president, and in his absence a
president pro tempore; and shall have
power to call special meetings of the
stockholders; to supply - vacancies in
their own body; and to do all other acts
and things touching the affairs of the
company not otherwise specially provi
ded for.
IV. Be it further enacted, That in
any election of directors, and all other
meetings, each stockholder shall be en
titled to one vote for every share held
by him, and may vote in person or by
proxy, in such manner as may be from
time to time prescribed in general mee
ting.
V. Be it further enacted, That the
stock of said company shall be deemed
and taken as personal estate, and may
oe iransierrea insucn manner as me ui-:
rectors of the company shall from time,
to time direct.
VI. Be it further enacted, That
this act .shall be in force from and after
the passage thereof.
VII. Be it further enacted, That
mis act shall expire at the end of thirty
years from the ratification thereof.
VIII. tie it further enacted, That
the Company hereby established shall
not engage in business other than that
which ordinarily belongs to manufactu
ring: Provided, that the Legislature
shall at any time hereafter have the
power to repeal, alter or modify the char
ter hereby granted; on condition never
theless, that no alteration or modification
or repeal shall annul or invalidate the
contracts made by or with the corpora
tion; and that the corporation may still
continue a corporation so far as to col
lect and recover and dispose of their es
tate, real and personal, and pay their
aeots and divide the surplus.

under the direction of the Commission
ers therein named at Tarborough, on
Tuesday, 10th inst. and also at Nash
ville, Cinder the direction of Joel Battle,
William Piummer, William Battle
and James Battle, on Tuesday, 1 7th
inst. to be continued open until 1st
June, or for a longer time, if then deem
ed advisable by the Commissioners.
The patronage of a liberal public is
solicited in this effort to give maturity
and vigor to a native manufacture of
such obvious utility and importance. It
will surely be admitted that the supply,
by northern manufacturers, with the ad
dition of charges and the merchants' pro
fit, of those fabrics which it is the object
of ihisCompany to produce,has increased
to no inconsiderable extent the pressure
so long experienced by this community

within ourselves, no unfavorable circum
stance forbids on the contrary, every
consideration invites to the attempt to
render ourselves independent of the ca
pital and industry of our northern
friends. Certainly the application of in
dustry, with a common portion of intel
ngence, and economical management,
can alone be necessary to insure success
to the enterprize. From the pride and
patriotism of our fellow-citizens we an
ticipate a liberal encouragement of our
undertaking; and we indulge the expec
tation, surely not too sanguine or unrea
sonable, that while northern manufactu
rers are enjoying a profit from capital
similarly employed of 15 to 30 percent,
this Company may look forward with
confidence, to a liberal remuneration for
the investment of their funds. Terms
of subscriptioa will be made known on
the day for opening the Books.

We find in the Baltimore pa
pers a very long and minute ac
count of a discovery, said to have
been recently made by M. Della
forre, a distinguished French phi
lologist, by means of whioji per
sons may be taught to read in a
space of time, not exceeding forty
hours, and averaging twenty-five.
New Bank of Georgia.?The
Central Bank" of Georgia, in
corporated at the recent session
of the Legislature of that state,
has two most excellent provisions
in its charter: One is, that no
loan is to be made to any one per
son, or corporate body, over
2500 dollars; another is, that no
officer nor director of the bank is
allowed to obtain a loan, nor their
names to be received as endorsers.
This is very good. It would have
been well had such provisions
been inserted in our North-Carolina
bank charters, for in that event
we should not now have seen
them in such a higglety-pigglety
condition, nor the people of the
state so interminably involved
with them.Salisbury Car.
Cobbling. A Mr. A. F. Stacy;
(a genuine son of St. Crispin, we
take it) advertises thus in the
last Jackson (Tennessee) Gazette;
"The subscriber respectfully in
forms the citizens of Jackson, that
he designs starting a Cobbling
Shop, as there is scarcely any
thing worn in this place but store
boots and shoes, and they of the
meanest kind." Mr. Stacy's com
plaint is not alone applicable to
Jackson: "store boots and shoes,"
in the greatest profusion, are to
be found in all the country stores
throughout the Southern and
Western States; as are the man
ufactures of most other mechan
ics: consequently, the mechanics
find it difficult to get rich in the
way of their vocation.- ib.
Progress of the American Bible
Society. During the first year of
the Society there were issued from
its Depository, Bibles and Testa
ments, 6,410 copies.

Alarm among the Lawyers
and Doctors. A considerable
sensation prevails amonn thn

members of the above professions.
The law of this state, imposing a
tax on lawyers and physicians,
las not Heretofore been enforced,
because it was supposed to be un
constitutional. The Supreme
Court having decided that it is
constitutional, the prosecuting at
torney has issued a circular re-
quiring immediate payment of
the tax assessed by the Court,
which is jive dollars on each in
dividual! It is feared that the col-
ection of this sum will produce a
number of bankruptcies among
the dealers in briefs and blue-bottles.
Cin. (Ohio) Gazette.
In Ohio they have a vulgar pro
verb which runs thus: "Root, hog,
or die." It is usually spread in sta7
ring capitals among idlers, and it is
said, often has an admirable effect
in promoting habits of industry.
