The Stockholders of the North Caro lina Rail Road Companyy assembled in annual meeting, in this place, ou Thursday, July 12, 1855.., Thev met In the Young Men's Hall at 11 o'clock, and was organized, on motion of the Hon. R. M. Saunders," hy; caning Dr. Frederick J. Hill to the Chair, and the appointment of Dr. D. A.' 'Montgomery hod D. II. Nett profits of the Road, . - 40,306 53 Besides the above, the Road did a large amount of business for the Com pany, which is not taken iuto the ac count. From the beginning that this Rv-ad has made, as was remarked by the Chairman of the Finance Commit ee, we have grounds to hope the time is uot far distant when the stock of this Company will be six per cent, paying stock. a After organization, the appointment of a Committee on proxies, &c.," ihe Company adjourned to 1 1-2 o'clock. P. JVf. In the afternoon, various matters of interest to the Company were discussed, when the meeting adjourned to meet again on Friday morning at 9 o'clock. 1 he Company met on b rid ay morn ing, 9 o'clock, according to adjournment, and proceeded to the election of four Directors, which resulted as follows, viz: Charles F. Fisher, 6,259 votes, Frances Fries, 4,936 R. M. Saunders, 4,424 Alexander Macllae, 4,844 " There appeared to be 7,229 shares of individual stock represented in the meet ing. R. P. Dick, Esq., held the State's proxy, but did not use it. . On motion of Mr. D..F, Caldwell, the .following resolution was adopted : Resolved, That injustice to the Stock holders, the Directors be and they are "hereby instructed to reduce the salaries of all officers . of the Company to the lowest figure, that will enable them to retain or secure the services of efficient and competent men ; especially in the ingineering Department. At the called meeting last March, a Tesolution was offered and laid on the able, inquiring into the expediency of discontinuing bunday service on this Ho ad. A motion was made to take up this resolution, but the motion was lost. During the meeting on Thursday, Gov. Morehead tendered his resignation .as President of the Road ; and also sta ted that he did not desire to be elected a Director. " - P. S. Ve have just learned that the new Board of Directors met, immedi ately on the adjournment of the Stock holders' meeting, and organized by electing Charles F. Not wishing to disturb those who were seated, I was intending to stand, but a gentleman up at the far end arose and insisted upon my taking his seat. Being very tired, I thanked bira and obeyed. Presently a lady,' much younger, much prettier, and much better dressed than my self, entered the car, no less than four gen tlemen arose instantly, offering her a seat She smiled sweetly and unaffectedly, and thanking the gentleman who urged the nearest seat to her, she seated herself with a peculiar grace of manner. She had one of those faces Raphael was always painting touchingly sweet and expressive. A lit tle after this young beauty had taken her seat, a poor woman, looking very, thin and pale, with that care worn, hazard look that poverty, and sorrow and hard labor al ways rire, came in. he r?A ht have teen like slaves and starve lor their libur She was thinly ani meanly clad and set-m ed weak und exhausted. She bad evident ly no sixpence to throw away, and came in the car not to stund, but to rest while she was helped oa in liei journey. While she was meekly standing for the moment, none of the gentlemen'?) offering to rise, Raphael's angel, witb sweet, reproving eyes, looked on those who bad so officious ly offered her a seat, and seeing none of them attempt t& move, and just as I myself wa3 rising to give the poor old lady a seat, she arose and insisted upon the woman taking her seat. It was all the work but of a moment; and the look of grateful sur prise the old woman gave her, and the glance of sweet pity the beautiful girl bes towed on the woman as she yielded her seaJt, aud the1 evident consternation of the broadcloth irrttiviJuils, who were: muiiilVai ly put to shame, all were to me irresistibly interesting anci instructive ; One of these same broadcloth wearers, apparently over powered with confusion, got up and left the car, and Raphael's angel look his. vacant seal. - v. - OTTR NEW MINISTER TO SPAIN, Mr. Dodge, United States Minister at Madrid, was presented to the Queen of Spain on Sunday, the 17th of June Mr. Dodge, on presenting his credentials, spoke as follows: , ";'. : , -"Madam : At the moment of presenting the letters of credence which accredit me in the quality of Envoy Extraordinary and Minister Plenipotentiary of the United Sta tes to your Majesty, ( fulfil the orders' of the President of the Republic in expressing to you the sentiments of friendship and high esteem be entertains for your royal person. The most sincere desire of the President and of the American people is to see tightened and consolidated the ancient and amicable relations Which for so many years have existed between the Govern ment of your Majesty and that of the Uni ted States. Por my part, so long as Isha I fill the office with which I am honored, as much by duty as from personal inclination, I shall neglect nothing which may contri bute to do away with every cause of diffi culty between the United States and Spain; and I will labor with assiduity and constan cy towards the development of the interests and prosperity of the two nations. Allow me, madam, to express, in conclusion, the sincere views I entertain for the happiness and welfare of your royal person and of your family." To this address the Queen replied as follows : "Monsieur le Mikistee: I have heard with much pleasure the expression of friend ship you have addressed to me in the name of the President of" the United State?, in presenting the letters which accredit you to me as Envoy Extraordinary and Minis, ter Plenipotentiary of the Confederation ; and I am happy to be able to assure you, that you may make it known to the Presi dent, that the sentiments which animate me for his person are not less friendly. ; "I desire as earnestly as the noble Amer ican people to behold drawn closer, the old and good relations which happily exist be tween Spain and the United States; and I doubt not that for your part you will con tribute to that result, equally advantageous for the two nations, by seconding the de sires of which my Government has given proof to put aside nil motives of difficulty with the Government of the United States. I give you thanks for the wishes you form for my welfare and that of my family, and you may rest assured that you will find at my Court the welcome which is due to your highly distinguished personal quali ties." Mr. Dodge was accompanied in bis offi cial visits by the Secretary of the Legation, Mr. Pebkt, who acts until the arrival of bis successor. Lord Howden, the British Minister at Madrid, gave a dinner to Mr. Dodge on the 21st ult. AN INSINUATION. A Saratoga (N. To Ueh ihertfo-e, Dr. Johnston pledges himself to preserve the most inviolable secrefy; and, from his extensive prac tice in tlie first Hospitalsin Europe and America, he ean confidently recommend" a safe snd epeedy cure to the unfortunate victim of this horrid dis ease.
