Northwestern Corp. Settlement
Judge Hiram H. Ward of
the United States District
Court for the Middle District
of North Carolina at Winston-
Salem today approved as final,
the Agreement of Proposed
Settlement which resolves the
lawsuit in connection with the
merger between Northwes
tern Financial Corporation
and Northwestern Finance
Company. The Court, after a

hearing held today, found the
proposed settlement to be
proper and valid; and entered
final judgement approving the
settlement agreement and
providing that the judgement
was conclusive and final to all
shareholders of Northwestern
Financial Corporation and
Northwestern Finance Com
pany.
Under the terms of the
settlement, an additional
108,728 shares of Northwes
tern Financial Corporation
stock will be delivered pro
rata to the former sharehold
ers of Northwestern Finance
Company who were sharehol
ders of record on December
31, 1975, together with cash
dividends on said distribut
able shares which have been
declared since December 31,'
1975. Thus, under the terms
of the proposed settlement,
former shareholders of Fi
nance would receive a total of
88.07 percent of the shares
issuable under the original
plan of merger, and the
Corporation would retain
100,000 shares or 11.93
percent of such shares as
unissued stock.
