BLUE RIDGE MOUNTAIN ELECTRIC MEMBERSHIP CORPORATION DIRECTORS* REPLY TO CHARGES (OF IRRESPONSIBILITY) The undersigned members of the Board of Directors of Blue Ridge Mountain Electric Membership Corporation wish to state and to remind the Members of the Cooperative that an audited financial statement has been made to every Member annually . These statements have covered all funds collected and the purposes for which they were used. Every Director is provided a monthly statement of operations which shows, in detail, all revenues collected and how they are used. The last audited statement given to the Members (as of June 30,1970) showed a lifetime deficit for the Cooperative of $16,145.48. Amortization collections during this time, amounting to $1,745,000, have been used entirely to repay money borrowed from REA . to build the lines supplying service to our Members. These amortization funds are restricted and can be used for no other purpose, though they are not enough to meet these requirements. These Directors refute the statement that Mr. Ed Lance was denied the courtesy of naming his successor. The By-Laws of the Cooperative clearly statethat any vacancy occuring on the Board will be filled by the remaining Board Members for the un-expired term of the position vacated. Mr. Lance did not submit a resignation, and no vacancy existed. Instead, he offered to "step aside" IF the Board desired to appoint Dr. Tanksley in his place. While the Board has given serious consideration to recommendations of resigning members, there is no precedent of permitting them to "choose" their successor. The undersigned Directors also state that they have never, individually or collectively, willfully withheld any information from the Members. The affairs of the Cooperative are of public concern. Statements and reports on the affairs of the Cooperative are given to the Members regularly in the form of newsletters, annual reports and at the annual meetings. As for rate increases, statements have been published in the area newspapers showing the amount & the reasons for them. These retail rates are controlled by TVA and are part of the Power Contract between TV A and the Cooperative. The Board has very little to say about the rate schedules adopted. The huge surpluses mentioned in a recent newspaper article simply do not exist, and the Cooperative must use its revenues carefully andprudently to meet its obligations and at the same time provide adequate service to Members, old and new. Neither this Cooperative, no any other TVA power distributor has ever paid a dividend to its' consumers, nor are they permitted to do so under the provisions of the TVA Power Contract. All the members of the Board of Directors have been fully aware of the method by which rates are fixed by TVA and within the knowledge of the undersigned no member of the Board has made an objection to the rates in a board meeting or sought in any manner to have these rates changed. It is the intent and policy of the Board to make available all facts relative to the Cooperative . The business of the Cooperative is officially audited once a year and our records are examined several times each year by TVA. Every dime received and disbursed -by the Cooperative is subject to the closest examination by these officials. At no time have these officials found any fault in the manner in which the funds or of the Cooperative have been used, and have frequently commended the Cooperative for the fine manner in which its' business is handled.
