Stotutory Definitions - The terms enumerated in Chapter i60A, Article 28 shall have the meanings os set forth in the statute and the terms as set forth in these Articles of Incor poration, the definitions as set forth in the general statutes shall control. 2 - Authority - Albemarle Regional Energy Authority established pursuant to Chapter 160A, Article 28 of the General Statutes of North Carolina. ARTICLE III DECLARATION OF PURPOSE It is the purpose of these Articles of Incorporation to create a public body ond body politic and corpo rate of the State of North Carolina to enhance the quality of life in its territoriol jurisdiction by promoting the development ot natur al gas systems to enhance the economic develop ment of the area. ARTICLE IV POWERS, DUTIES AND FUNCTIONS This Authority shall possess the powers, duties and functions set forth in Article 28 of Chapter 160A of the N.C. General Statutes including, but not limited to. Sections 160A-667. 673, 674 and 676, as they moy be amended from time to time. ARTICLE V BOARD OF TRUSTEES The powers of the Author ity shall be exercised by the Board of Trustees, composed as follows: MEMBER UNIT Camden County Chowan County Currituck County Pasquotank County Perquimans County Town of Edenton City of Elizabeth City Town of Hertford Town of Winfall NUMBER OF DELEGATES 1 delegate each The governing body ot each member unit shall appoint a resident of the member unit to the board as the member unit's trustee. Each trustee shall serve at the pleasure of the appointing governing body for a term of four years except the initial trustees who shall serve staggered terms os here inafter set forth. Any trustee may be removed, of any time, with or with out couse, by the govern ing body of the appointing member unit. Each trustee shali hold office until that trustee's successor is appointed and quolified. Any trustee shall be eligi ble for reappointment to succeed himself or herself. The Authority Board of Trustees shall annuolly in January elect from its membership a chair and a vice-chair and shall annu ally elect a secretary and treasurer by simple majori ty vote of those trustees present and voting at properly constituted meet ing, A majority of the mem bers of the Boord of Trustees shall constitute a quorum for the transocfion of business. A vaconcy on the Board of Trustees sholl be filled by appointment by the gov erning boord of the .miem- ber unit of locol govern ment having the original appointment with the term of office for the new oppointee being the unexpired term of the orig inal appointee. The names of the appointing units of local government, and the year of expiration of the terms of the first members are as follows: UNITS OF LOCAL GOVERN MENT - EXPIRATION OF TERMS: Camderi-CoualY JUNE 30, 1999; Chowan County JUNE 30, 2000; Currituck County JUNE 30,2001; Posouotank County JUNE 30, 1999; Perquimons County JUNE 30, 2000; JUNE 30, 2001; City ,pf .Elizabeth City JUNE 30, 1999; Town of Hertford JUNE 30, 2000; Town of Winfoll JUNE 30,2001. Members of the Board of Trustees shall receive a sum pursuant to N.C. Gen. Stot. Section, 160A-664. as amended from time to time, as compensation for attendance at each duly conducted meeting of the Authority. ARTICLE VI FINANCES Funding for administrative and general operational requirements of the Authority, to include plan ning, board meetings, design, acquisition, con struction and manage ment of the natural gas system and other Authority purposes will initiolly be provided by members of the Authority. Each mem- ber s proportionate share shall be determined by a per capita assessment based on the most recent United States Census. Thereafter, the Authority will develop and adopt, by simple majority vote, an annual budget for each upcoming fiscal year which shall be submitted to the member govern ments not later than May 1. The budget shall be funded first by revenues generated by operations of the authority ond, sec ondarily, by revenues gen erated by assessments of member governments, the assessments to be mode proportionately on a per capita basis according to the most recent United States Census upon major ity vote of the member units of local government. ARTICLE VII WITHDRAWAL If the Authority has no out standing indebtedness, any member may with- drow from the Authority effective at the end of the current fiscal year by giv ing at least six months notice in writing to each of the other members, With- drowal of o member shall not dissolve the Authority if at least two members remain. ARTICLE VIII AUDIT The Authority shall cause to be made an annual audit of its books ond records by an indepen dent Certified Public Accountant at the end of each fiscal year and a certified copy of the audit shall be filed promptly with the governing body of each member unit. ARTICLE IX AMENDMENTS These Articles of Incorpo ration may be omended by unanimous vote of the governing bodies of the member governments of the Authority. ARTICLE X DISSOLUTION The Board of Trustees, after providing for the con tinued availability of natur al gas service to its cus tomers, if any, may termi nate the existence of the authority at any time when it has no outstanding indebtedness. The Board of Trustees shall file notice of the termination with the Secretary of State, The proceeds that may be derived from the sale of the Authority's ossets shall be distributed among the member units of govern ment pursuant to the fol lowing formula: (Member government pop ulation/Totol population of member governments) x Total dollar value of Authority's assets = Mem ber government's share.
