The following are the official riiiiiuies of the proceedings of the meeting of the Stockholders in the uboVe company as read and approved. At a meeting of the Stockholders of the Cape Fear and Deep River Naviga tion Company, held in the Town of Wilmington, on the Sih ol March, 1855. :a r.'solntion was passed requesting that he Board of Detectors .wou d advertise 'h;tt a general, meeting would be held in said Town on the l9;h of April, 1855. This being the day and place appoin ted, on motion, Dr. F. J. Hill was re quested to act as Charmau duiug the ai sim ice cf Col. John Slcltae, the foim r Chairman, and Henry A. lotuloii and Joseph II. Blossom, were appointod S-jcretaries. On motion, A. On motion, the Secretaries were ap pointed a committee to ascertain the amount of Stock present, in person and by proxy. The Secretaries reported a large ma jority of the whole Stock to be present. ' Whereupon the meeting was declared regularly organized. .The rexirt of the committee of three appointed at the last meeting to examine 'and report what amount of stock had been subscribed and paid in, the amount and character of the liabilities of the . Company, the books and accounts of the treasurer from its organization to the present time, and what amount would be required to complete the work was read by the Chairman, Robt. K. Rives. . On motion of Hon. A. Reticher, the report was received and " referred to a committe of five, to be appointed by the .Chair, with instructions to report to this meeting at S o'clock, P. M., and also to have the same printed if they deemed it expedient. The Chair appointed Hon. A.Rench er, O. G. Parsley, A. II. VanBokkelen, John J. Williams, and Col. Henry Elliott said Committee. Meeting ad journed to meet at half past three o'clock, (3 1-2). . 3 1-2 o'clock. Meeting met according to adjournment; F. J. Hill in the Chair. Edward Kidder submitted a plan for the relief of the Company from its pres sing liabilities," which was laid over un til the meeting should assemble to-night, with the request that all those present would endeavor to have as many to meet at that hour as possible.. Meeting took a recess until 8 o'clock. S o'clock. Meeting met according to adjournment; F. J. Hill in the Chair. lion. A. Reucher, Chairman of the Committee to whom the report of the Committee of three was referred, made a report : On motion, the report was received and ordered to be printed, together with the report of the Committee of three. ? The following resolution was offered by O. G. Parsley, Esq., Resolved, That whatever sums of money shall be paid iuto the Treasury of this Company on preferred Stock, sub scribed after the adjournment of this meeting, shall be applied in discharge of liabilities incurred by John H.Haugh ton, Peter G. Evans, Elias Biyan, Isaac Clegg, Thomas Hill, Spencer M. Claim ban and L. J. Haughton, as sureties for said Company, as well as the balance due on the oiigiual debt due the Com mercial Bank of Wilmington, until the same are discharged, the balance to lie applied to the payment of any other debts due by the Company. Resolved, That this Company will accept the act passed bv the General Assembly of the State of North Caroli na, February 10th, 1S55, entitled "an Act to authorize the Cape, Fear and Deep River Navigation Company to is sue Bonds, and for other purposes,1' and that a resolution shall be drawn up and subscribed by the members of this Com pany, according to the provisions of the said act, signifying their acceptance thereof. ? Which resolution was unanimously adopted. Meeting adjourned until 10 o'clock, A. M., to-morrow. . C" Friday, April 20. Convention met according to adjournment. . " , " : F. J. Hill, Esq., in the Chair. - s Proceedings lead and approved. On motion of the Hon. A. Reucher, the fol lowing resolution was read and unani mously adopted - ; Resolved That hereafter in the furth er prosecution of the work; the President and. Directors are instructed to com mence at the lower part of the improve ment, and to proceed upwards so as to giire us a good navigation as far up the Cape Fear River as the means at the disposition of the board will enable them, before commencing operations on the Deep River, provided, that nothing -herein contained, shall prevent any stockholder who- has any stock to work out on Deep River, from proceeding with his work under the direction of the Boaid. On motion of B. I. Howze, Esq. 1 Mesolved, That this meeting hereby ra'tify the proceedings of the meeting of this Company held in Wilmington on the 8th day of March, 1855, so far as they are not in conflict with the proceed ings of this meetirig. 5 ' .On motion of Robt. Alex. Murchison, President, i Jas. Cassidey, Col. A. -A.: McNeil and John II. Haughton, Directors, i Iiesolced, That the annual meeting be changed 'from 3d Thursday in July to the 3d .Thursday in April, and that the next meeting be held in the town of Fayette Vllle. Iiesolced, That the claim of Doct. T. Z Davis, for the loss of a negro boy, named Archibald, who was drowned, be referred to the President and Directors of this Com panj, who are hereby authorized, if in their opinion the claim is just and equitable, to settle the same on the best terms they Can witu ihe claimant. The following resolution was offered by B. I. Howze, Esq, llcsolved, That in the opinion of this meeting it is expedient that not less than four Directors, or the President and thr.-e Directors should constitute a quorum, for the transaction of business. On motion of O. G. Parsley, Esq , Resolved, That the President and Direct ors be requested to secure the services of E.A. Douglass, Esq , of Pennsylvania, or some other competent Engineer for this Company. - Motion by M. Q,. Waddell, Esq., to reconsider the resolution offered by Hon. A. Iteucher and adopted at the opening of the meeting this rnoi nine. On motion Hon. A. Uenchcr, the mo tion was laid upon the table. Carried On motion, adjourned to meet tomorrow (Saturday) morning at 9 o'clock. Saturday -Moaxixc, April 21. Conven tion met according to adjournment. Dr. F. J. Mill in the Chair. Yesterday's proceedings were read and approved. .The Chair, under the resolution adopt nd in the report of the Committee . of five, a p pointed Nathaniel. Clegg and John W. Scott, as the Auditing Committee for the ensuing twelve months. Iiesolced, That this Convention respect fully recommend to the Board of Direc tors to Jake into consideration the proprie ty a:;d the expediency of purchasing a number of negroes to be employed in car rying on the work, and they ar hereby authorized to make said purchase, if in their opinion, they deem it advisable. Other business was transacted and the meeting adjourned, to meet at Haywood the 3d Thursday of April next.
