There are many reasons why people feel they should incorporate their businesses. Very often these reasons are based on misinformation about the advantages of being a corporation. There are a number of things that being a corporation will not do for you. It will not automatically moke you more profitable. It will not necessar ily limit your liability on all transactions. It will not necessarily reduce your overall tax bill: it may, in fact, increase it. If you incorporate an existing business, you may find that your long esta blished suppliers now require new financial statement information. They may also request that yoir sign personally as a guarantor of the corporation's line of credit with their company. Most closely held corporations are required to have the personal guarantee of the major shareholder in securing a line of bank credit for corporation purposes. This guarantee has the effect of not limiting your liability in reference to those bank loans. In an aHempt to reduce business income taxes, you may find that the in corporation of your business has net only increased the acuol income tax Ml, but also increased payroll taxes because the previous proprietor I* now an employee of the corporation. There is an income tax election that allows certain qualifying corporations to be taxed somewhat as a partnership. This election is referred to as Sub chapter "S" election. The Sub-S corporate tax election allows most corporate gains and losses and tox credits to pass directly to the shareholders There tore. the corporation functions in the same legal capacity as any other cor poration. yet has the income tax consequences passed to the shareholders, f? r<rto , Because of the increased costs of operating as o corporate entity, and became of the many Irjc! sr?j :ar considerations. I suggest that anyone considering incorporating discuss the matter with both their accountant and i ttowie^. ',?& ^ David Lee- HoUoweU Sr., Kelvin Williams and Lindsay Williams. BOYCB PLYMOUTH ?
