Commercial Shearing Directors Elected At their annual meeting to- day, shareholders of Com- mercial Shearing, Inc. re- elected 4 incumbent directors - Messrs. Paul J. Powers, Thomas J. Travers, Don E. Tucker and Robert E. Williams. They also ratified the selec- tion of Ernst & Whinney as in- dependent public auditors for the fiscal year ending Oc- tober 31, 1986. A proposal to (1) increase the amount of authorized common stock from 15,000,000 to 30,000,000 shares and (2) to authorize 10,000,000 shares of a new class of Preferred Stock which would be available for issurance by the Board of Directors, failed to receive the required 2/3’s vote of total outstanding shares re- quired for passage. John Nelson, Chairman of Commercial, commented that he ‘““believed shareholders had no problem with the authorization of ad- ditional common stock, but that authority to issue prefer- red was something new for Commercial.” Nelson noted that “the proposal was not very well explained or understood,” adding ‘“we’ll try harder to do a better job next time.” At the organization meeting of the Board of Directors Hans W. Lange, President of the Cuno sub- sidiary, was elected Vice President of Commerical Shearing, Inc. DON'T GIVE UP IGHT TO VOTE.
