Hattie Cox, 18 Years Old, Dies Saturday Hattie Bell Cox, 18 years old daughter of Mr. and Mrs. marly Cox, died Saturday morning at the home of her parents on the Wel don Road. Funeral services were held at 3 p.m. Sunday at W. C. Williams Funeral Home by the Rev., Kermit Traylor. Interment was in Roanoke Rapids Cemetery. Surviving are her parents, three sisters, Mrs. Roy Gray of Littleton, Mrs. Irene Elks and Miss Marie Cox of Roanoke Rapids, and five brothers, Garland, Francis, Nor man, David Lee and Condrey. L. R. Pearson of Franklin, Va. spent the Thanksgiving holidays here with his family. W. T. Edwards, A. D. Lynch spent Thanksgiving Day with Mr. and Mrs. T. O. Edwards in Jack son. Mrs. R. L. Pulley of La Crosse, Va. spent Wednesday night with Mrs. J. B. Edmonds. Hawkins Chapel Mr. and Mrs. W. G. Mitchell and family visited Mr. and Mrs. W. T. Mitchell Sunday afternoon. Mr. and Mrs. T. J. Carpenter and daughter of Belmont were dinner guests of Mr. and Mrs. Jack Haw kins and family Sunday. Alvah Hawkins of Greensboro returned Sunday after spending several days with his parents, Mr. and Mrs. C. F. Hawkins. Agnes Hawkins of Roanoke Rap ids spent the week-end with Mr. and Mrs. Willie Pepper. Raymond Hawkins of Richmond spent the Thanksgiving holidays with his mother, Mrs. Charlie Haw kins. Mr. and Mrs. Curtis Porter of Littleton, Zeb, Willis, Clara Haw kins spent Sunday in Farmville. Mr. and Mrs. C. W. Hawkins, J. G. Hawkins of Roanoke Rapids spent Thursday with Mr. and Mrs. J. D. C. spent the holidays with her parents, Mr. and Mrs. E. N. Dickens. Miss Mabel Alston of Lillington, N. C. spent Saturday and Sunday with her parents, Mr. and Mrs. W. L. Alston. Miss Jeanette Robinson of N.C. C.W., Greensboro, N. C., spent Sun day with her parents, Mr. and Mrs. F. I. Robinson. Rev. and Mrs. J. O. Long and family left Tuesday to make their home in Warrenton, N. C. Misses Helen Rowell and Eliza beth Harvell of Greensboro, N. C. spent the holidays at home. Mrs. Sara Smith and grandchil dren left last week to make iheir home in New York City. Mrs. H. C. Mr. Robinson has been assigned to the Methodist Church here for the new year. They moved from Roxboro here. We are glad to welcome them to Weldon. The ladies of the church had prepared a nice dinner and members of the church sent a se lection of groceries for the pantry shelves. Quankie Ckurch Services at Quankie Baptist Church for December 5th will be as follows: Sunday School at 10:00 a.m., L. B. Keener, Supt. Sermon by the pastor, Rev. J. W. Riggan, of Macon, at 11:00 a.m. and again at 7 p.m. The public is cordially invited to these services. A comfortable church and a hearty welcome a waits you. Young Women Of Rosemary Baptist In Week of Prayer Young Women’s Auxiliary of Rosemary Baptist Church met at the church Wednesday evening. During the business session plans were made to observe Week of Prayer for Foreign Missions be ginning Nov. 29th; also to make a contribution to the Lottie Moon Christmas offering. “Thanksgiv ing” was the topic of the month and several interesting articles were read and discussed. A new spirit of Thanksgiving was the re sult of these discussions. ^Halifax Miss Mary Harris of near Hali fax enjoyed a barbecue and bruns wick stew dinner Thanksgiving at Haywood Joyner’s. Miss Maggie Harris and Mrs. Er nest Bradley of Halifax are spend ing some time in Wake Forest with Mrs. Bradley’s uncle, Jack Mat thews. Miss Mary Harris spent Friday afternoon with Miss Myrtle Rae Hux of Darlington. Miss Mary Hux of Darlington is spending the week in Halifax with her sister Margaret Mr. and* Mrs. Sterling Greene of Darlington spent Sunday with Mrs. Greene’s mother and father, Mr. and Mrs. Harvey Harris. Neville is spending some time in Durham with her sister, Mrs. A. J. Glisson. CERTIFICATE of AMENDMENT TO THE CERTIFICATE OF INCORPORATION OF ROANOKE MILLS OOMPANY Alfred Terrell, President, and R. L. Towe, Secretary, of Roanoke Mills Company, a North Carolina corporation having its principal of fice at Roanoke Rapids, in the County of Halifax, North Carolina, do hereby certify, pursuant to Sec tion 1131, Chapter 22 of the Con solidated Statutes of North Caro lina, as amended that at a special meeting of the stockholders of said Company duly called for the pur pose and held at the office of the Company at Roanoke Rapids, North Carolina, at ten o’clock in the forenoon on the 26th day of November, 1937, at which meeting there were present in person or by proxy the holders of 8,0?0 shares of $4. non-cumulative preferred stock and the holders of 29,967 shares of the common stock, the following preambles and resolutions were duly adopted by the affirmative votes of the holders of all of the $4. non-cumulative preferred stock and more than 99% of the issued and outstanding common stock of the Company, being the only classes of outstanding capital stock of the Company, viz: “WHEREAS, heretofore, at a meeting duly held on the 16tn day of November, 1937, the Board of Directors of Roanoke Mills Com pany unanimously adopted the fol lowing resolutions: “‘RESOLVED: That in the opin ion of the Board of Directors of Roanoke Mills Company it is ad visable that the Certificate of In corporation be amended so as to decrease the authorized capital stock by retiring the entire classes ,of 7%% and 8% preferred stocks now outstanding and by reducing the par value of the 30,000 shares of authorized common stock from $100. per share to $60. per share, and in connection therewith to e liminate from the Certificate of In corporation as heretofore amended all provisions referring to the said classes of 7%% and 8% preferred stocks, rendered obsolete by the retirement of the entire classes of such preferred stocks. ‘“RESOLVED: That a meeting of the stockholders be called to be held at the office of the Company at Roanoke Rapids on the 26th day of November, 1937, at ten o’clock in the forenoon, to take such action on the said proposed amendment as the meeting may determine.’ “NOW, THEREFORE, be it “RESOLVED: That the Certifi cate of Incorporation of Roanoke Mills Company, as heretofore a mended, be amended (1) so as to decrease the authorized capital stock by reducing the par value of the 30,000 shares of the common stock of Roanoke Mills Company from $100. per share to $60. per share and by retiring the entire classes of authorized 7%% and 8% preferred stocks, so that after the said reduction the authorized cap ital stock of Roanoke Mills Cofn pany shall be as fololws: 30,000 shares of authorized common stock of the par value of $60. per share and 8,037 shares of $4. non-cumu lative preferred stock without nom inal or par value; and (2) in order to eliminate in the Certificate of Incorporation provisions referring to the said 7%% and 8% preferred stocks, rendered obsolete by their retirement, to strike out all of Sec tions 6, 6% and 6% of the Certifi cate of Incorporation, as heretofore amended, and to insert in lieu thereof a new Section 6 which shall be as follows: “Section Six. The authorized capital stock of the corporation shall consist of 38,037 shares divid ed into 30,000 shares of common stock of the par value of $60. each and 8,037 shares of $4. non-cumu lative preferred stock without nom inal or par value.' “T h e $4. non-cumulative pre ferred stock shall be entitled to non-cumulative dividends payable out of the surplus or net earnings as and when declared by the Board of Directors at the rate of $4. per share per annum and no more, payable semi-annually on the first days of January and July in each year, before any dividends shall be set apart or paid on the common stock. Upon the dissolution or liquidation of the Company, volun tary or involuntary, the holders of ft the $4. non-cumulative preferred stock shall be entitled to be paid $100. per share before any amount shall be paid to the common stock holders. “At the option of the Company, all of the $4. non-cumulative pre ferred stock then outstanding may be called and retired at any time upon mailing notice thereof to the registered holders of such stock at least thirty days prior to the date fixed for such retirement and up on payment therefor of $100. per share, and any part less than all of the issued and outstanding $4. non-cumulative preferred stock may be called and retired at the option of the Company, on any dividend date, in the same man ner and on like notice and pay ment. No other or additional stock having priority over this issue of $4. non-cumulative preferred stock shall be issued without the consent of the holders of two-thirds of this issue of $4 preferred stock at the time outstanding.” IN WITNESS WHEREOF, Roa noke Mills Company has caused this Certificate to be signed by its President and Secretary and its corporate seal to be hereto affixed this 6th day of November, 1937.
